1. Introduction

Welcome to Heaven Power Systems. By using our services, you agree to these Terms of Service ("Terms"). Our role is to provide homeowner representation and project management services for home electrification projects, including EV charging, electrical panel upgrades, heat pumps, standby generators, and solar energy systems.

Heaven Power Systems does not perform installation work. Instead, we help homeowners source competitive bids, evaluate contractor proposals, and oversee project execution to ensure efficiency, cost-effectiveness, and high-quality results.

2. Scope of Services

Heaven Power Systems provides the following fixed-fee services:

2.1 Project Management & Oversight

Our services follow a structured six-step process:

1. ​Kick-off Meeting at Client’s Home – We assess your project requirements and clarify expectations.

2. Competitive Bid Sourcing – We obtain multiple quotes from qualified contractors.

3. Normalized Bid Review & Presentation – We break down contractor proposals so you can compare pricing, scope, and technical details apples to apples.

4. Project Oversight – We monitor the project’s progress, ensuring work is performed according to agreed terms.

5. Deficiency List – We document any incomplete or substandard work and assist in having it addressed before final payment.

6. Close-Out & Payment Certification – We confirm that work meets acceptable standards before you finalize contractor payments.

3. Homeowner-Contractor Relationship

​

3.1 Direct Contracting with Installation Contractors

​Homeowners contract directly with the installation contractor performing the work. Heaven Power Systems is not a contractor and does not assume liability for installation work, warranties, or workmanship.

• We assist homeowners in sourcing and selecting a qualified contractor but do not enter into contracts on behalf of homeowners.

• Any installation warranties, guarantees, or service agreements are the sole responsibility of the contractor hired by the homeowner.

 

4. Payment Terms

4.1 Fixed-Fee Pricing

• Our services are provided for a fixed fee based on the project type.

• Payment is required before project initiation, following the booking of a kickoff meeting.

• Once payment is made, no refunds will be issued unless otherwise specified in writing.

 

4.2 Additional Costs

• Our fee covers the full project oversight process. Any increases in project costs related to materials, labor, or additional work requested are handled directly between the homeowner and the contractor.

• If additional project management services are required beyond the agreed scope, a separate agreement and fee structure may apply.

 

5. Project Oversight & Limitations

5.1 Oversight vs. Direct Management

• We oversee approvals, inspections, and contractor work to help ensure that milestones are met in a timely manner.

• However, we do not directly manage approvals, inspections, or compliance with utility or municipal requirements—this remains the responsibility of the contractor and homeowner.

 

5.2 No Guarantees on Contractor Performance

• While we vet contractors and assist in bid selection, we do not guarantee contractor performance or project outcomes.

• Any disputes between the homeowner and contractor must be resolved between those parties.

 

6. Liability & Indemnification

6.1 Limitation of Liability

• Heaven Power Systems is not liable for installation errors, delays, contractor disputes, or compliance issues.

• Our role is advisory and project oversight only—homeowners make all final decisions regarding contractor selection and payments.

 

6.2 Indemnification

• The homeowner agrees to indemnify and hold harmless Heaven Power Systems, its employees, and affiliates from any claims, damages, or disputes arising from contractor work or project execution.

 

7. Dispute Resolution

7.1 Governing Law

• These Terms are governed by the laws of the Province of Ontario, Canada.

 

7.2 Dispute Resolution

• Any disputes related to these Terms must first be addressed through good-faith negotiations between the parties.

• If a resolution is not reached, disputes may be submitted to arbitration in Ontario, as permitted by law.

 

8. Amendments & Updates

• Heaven Power Systems may update these Terms from time to time. The latest version will be available on our website.

• Continued use of our services constitutes acceptance of any updated Terms.
